Terms of Service for Suppliers

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between your business entity ("Supplier", "Seller", "you") and GrabRaw ("GrabRaw", "we", "us"). By accessing or utilizing the GrabRaw Seller portal (business.grabraw.com), registering a supplier profile, uploading catalog listings, or receiving buyer search matches and inquiries, you agree to be bound by these Terms.

If you are accepting on behalf of an entity, manufacturer, or company, you represent and warrant that you possess the legal authority to bind that entity to these Terms.

2. Supplier Registration & Account Verification

To list components, materials, or fabrication capabilities on the GrabRaw network, you must establish an authenticated supplier account. You agree to:

  • Provide accurate, current, and complete corporate registration details (Legal Business Name, GST/Tax Registration Number, Official Corporate Domain, Physical Address).
  • Maintain the security of your authentication credentials, magic links, or one-time verification codes.
  • Submit legitimate documentation when requested by GrabRaw during the supplier credentialing process.
  • Promptly notify GrabRaw if you detect any unauthorized access or security breach involving your supplier account.

3. Catalog Listings, Keyword Matching & Accuracy

GrabRaw operates an AI-assisted search and matching engine that links buyer Bill of Materials (BOM) requests with supplier components. When uploading component listings and keyword mappings:

  • Product Authenticity: You warrant that all components and materials offered are genuine, authentic, and compliant with applicable international industry standards (e.g. RoHS, REACH, CE where applicable). Counterfeit or falsely labeled parts are strictly prohibited.
  • Accurate Keyword Association: You agree not to manipulate the search index through keyword stuffing, claiming components you do not manufacture, distribute, or fabricate, or associating competitor trademarks dishonestly.
  • Stock & Lead Times: You agree to provide realistic lead time and availability representations to avoid misguiding prospective buyers.

4. Commercial Leads, RFQs & Buyer Interactions

When buyers generate BOM matches and submit Request for Quotes (RFQs) or profile views:

  • GrabRaw serves as a discovery network that connects hardware buyers directly with authorized suppliers. Commercial negotiations, purchase orders, credit terms, shipping, and contracts are concluded directly between the buyer and you.
  • You agree to treat all proprietary buyer BOM specifications, CAD drawings, and technical schematics received through GrabRaw as confidential trade secrets.
  • GrabRaw does not guarantee minimum transaction volumes or contract closure rates resulting from leads or search matches.

5. Fees & Cashfree Payment Processing

Certain services, including Verified Supplier credentialing, premium keyword limits, and elevated search placement, may require verification or subscription fees.

Payment Gateway Terms: All monetary transactions on business.grabraw.com are processed through our authorized payment partner, Cashfree Payments (Cashfree Payments India Pvt. Ltd.). By making a payment, you agree to Cashfree's terms of service and privacy practices. All charges are non-refundable unless explicitly stated otherwise or mandated by applicable law.

6. Intellectual Property Rights

You retain all ownership rights in your product logos, datasheets, trademarks, and catalog content uploaded to the portal. By uploading, you grant GrabRaw a worldwide, non-exclusive license to display, index, format, and present your catalog data across the GrabRaw search ecosystem.

All proprietary algorithms, search index structures, dashboard interfaces, and software on business.grabraw.com are the exclusive intellectual property of GrabRaw.

7. Suspension & Termination

GrabRaw reserves the right to suspend or terminate any supplier account that:

  • Violates component authenticity standards or offers unauthorized counterfeit parts.
  • Engages in spamming, keyword fraud, or deceptive commercial practices.
  • Fails to maintain required regulatory or tax compliance credentials.

8. Limitation of Liability

To the maximum extent permitted by applicable law, GrabRaw and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, procurement contracts, or business interruptions arising out of or related to your use of the supplier portal.

9. Governing Law & Contact

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction of GrabRaw, without regard to its conflict of law provisions.
